# Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website-hosted user interface (the “Interface”) provided by Calabi that enables interaction with the Calabi decentralized perpetual futures protocol and related infrastructure (collectively, the “Protocol”).

By accessing or using the Interface, you agree to be bound by these Terms. If you do not agree, do not use the Interface.

## 1. Eligibility and Restricted Persons

You must be at least 18 years old and have the legal capacity to enter into these Terms.

**Restricted Persons.** You may not access or use the Interface if you are:

* A citizen, resident, or entity of the United States of America
* A citizen, resident, or entity of the United Kingdom
* A citizen, resident, or entity of Canada
* Located in, incorporated in, or otherwise subject to the jurisdiction of any country or territory subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine
* Otherwise prohibited from using the Interface under applicable law

You represent and warrant that you are not a Restricted Person and that you will not use any technology (including VPNs or proxies) to circumvent these restrictions. Calabi reserves the right to block access or take other measures if it believes you are a Restricted Person, but the absence of technical blocking does not waive the contractual prohibition.

## 2. The Interface and Non-Custodial Nature

The Interface is a web-based frontend that allows you to interact with the Protocol.

Calabi does **not**:

* Custody, control, or have access to your digital assets, private keys, or recovery phrases
* Execute trades on your behalf
* Act as a broker, intermediary, exchange, or custodian

You interact directly with the Protocol via your own non-custodial wallet. You are solely responsible for the security of your wallet and private keys. Loss of private keys or seed phrases will result in permanent loss of access to your assets. Calabi cannot recover them.

## 3. Assumption of Risk – Perpetual Futures and Protocol Risks

Trading perpetual futures and using decentralized protocols involves **substantial risk of loss**, including the possible loss of all capital.

You acknowledge and accept, among other risks:

* High leverage, rapid liquidations, and funding rate payments
* Smart contract vulnerabilities, bugs, exploits, or failures
* Oracle failures, price manipulation, or inaccurate data feeds
* Network congestion, high gas/developer-docs/trading/fees, or blockchain downtime
* Impermanent or permanent loss of funds
* Regulatory actions that may restrict or shut down access
* Volatility, slippage, and illiquidity
* Risks inherent in cryptographic systems and public blockchains

The Interface and Protocol are provided **“AS IS”** and **“AS AVAILABLE.”** Calabi makes no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, security, or uninterrupted operation.

Nothing on the Interface constitutes financial, investment, legal, or tax advice. You are solely responsible for your own decisions and for complying with all applicable laws, including tax reporting.

## 4. Prohibited Activities

You agree not to:

* Use the Interface if you are a Restricted Person
* Engage in market manipulation, wash trading, spoofing, or other abusive practices
* Violate any applicable law or regulation
* Interfere with or disrupt the Interface or Protocol
* Attempt to reverse-engineer, decompile, or exploit the Interface or Protocol
* Use the Interface for any illegal purpose, including money laundering or terrorist financing

## 5. Intellectual Property

The Interface (including its design, code, text, graphics, and trademarks) is owned by Calabi or its licensors. You receive only a limited, non-exclusive, non-transferable, revocable license to access and use the Interface for its intended purpose in accordance with these Terms. You may not copy, modify, distribute, or create derivative works without prior written permission.

## 6. Limitation of Liability

To the maximum extent permitted by law, Calabi and its contributors, developers, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, digital assets, or goodwill, arising out of or related to your use of (or inability to use) the Interface or Protocol, even if advised of the possibility of such damages.

In no event shall Calabi’s total aggregate liability exceed the greater of one hundred U.S. dollars (USD \$100).

## 7. Indemnification

You agree to indemnify, defend, and hold harmless Calabi and its contributors, developers, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Interface, your violation of these Terms, or your violation of any rights of another party.

## 8. Modifications

Calabi may modify these Terms or the Interface at any time. Changes will be effective upon posting the updated Terms with a new “Last updated” date. Continued use after changes constitutes acceptance. Calabi may suspend, discontinue, or restrict access to the Interface at any time without notice or liability.

## 9. Termination

Calabi may terminate or suspend your access to the Interface immediately, without notice, for any reason, including if you breach these Terms or are believed to be a Restricted Person.

## 10. Miscellaneous

These Terms constitute the entire agreement between you and Calabi regarding the Interface.<br />If any provision is held unenforceable, the remaining provisions remain in effect.<br />Failure to enforce any right does not constitute a waiver.<br />There is no agency, partnership, joint venture, or employment relationship created by these Terms.

**You acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy.**
